These Terms of Service ("Terms") govern your access to and use of the website, services, and products provided by Clarion FG Corp ("Mispar Books," "we," "us," or "our"). By accessing our website or using any of our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access our website or use our services.
Mispar Books provides premium, tech-enabled bookkeeping services for small businesses, including monthly bookkeeping, reconciliation, financial reporting, 1099 reporting, and catch-up bookkeeping. The specific scope of services provided to you will be governed by a separate service agreement or statement of work. These Terms supplement, and do not override, any signed service agreement between you and Clarion FG Corp.
You must be at least 18 years of age and have the legal authority to bind the business entity you represent to these Terms. You are responsible for maintaining the accuracy of the information you provide to us and for providing timely access to the financial records, systems, and personnel necessary to perform our services. You agree to notify us promptly of any changes to your contact or business information.
To enable us to deliver accurate bookkeeping, you agree to provide complete, accurate, and timely financial information, including bank statements, credit card statements, receipts, and access to relevant accounting software. Delays or inaccuracies in the information you provide may affect the accuracy and timeliness of our deliverables. You remain solely responsible for all business decisions made on the basis of our reports.
Fees for our services are described in your service agreement or on our pricing page. Unless otherwise stated, fees are billed monthly in advance. Custom and catch-up engagements may carry separate one-time fees. Payments are due according to the schedule set in your service agreement. We may adjust fees with reasonable advance notice; any adjustment will not apply to a then-current billing cycle already paid.
All content, software, methodologies, templates, and materials we develop and provide remain the property of Clarion FG Corp or its licensors. Reports and deliverables prepared specifically for your business are licensed to you for your internal business use. You may not resell, sublicense, or redistribute our proprietary materials without our prior written consent.
We respect the confidentiality of your financial and business information and use it solely to provide our services. We implement reasonable administrative, technical, and physical safeguards to protect your data. We will not disclose your confidential information except as required by law or as necessary to perform our services through our authorized personnel and service providers.
Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Clarion FG Corp disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that our services will be error-free, uninterrupted, or that any result will be achieved. Bookkeeping is record-keeping only and does not constitute tax, audit, or investment advice.
To the fullest extent permitted by law, Clarion FG Corp and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or related to your use of our services. Our aggregate liability for any claim arising out of these Terms or our services is limited to the fees you paid us in the three (3) months preceding the claim.
You agree to indemnify and hold harmless Clarion FG Corp and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of our services, or your violation of any law or the rights of a third party.
You may terminate our services at any time subject to the notice period in your service agreement. We may suspend or terminate services for cause, including non-payment or material breach of these Terms. Upon termination, you remain responsible for all fees incurred up to the termination date, and we will deliver any completed work and return your records as described in your service agreement.
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You and Clarion FG Corp submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York for any dispute arising out of or relating to these Terms or our services.
We may update these Terms from time to time. The most current version will always be posted on this page with the "Last updated" date above. Your continued use of our services after a change constitutes your acceptance of the updated Terms. If a change is material, we will provide reasonable notice through our website or by email to current clients.
